Terms & Conditions.

1. Definitions

• "Customer" means the organisation or individual that has entered into a subscription agreement with NarrativEye.
• "User" means any individual authorised by the Customer to access the platform.
• "Platform" means the NarrativEye narrative intelligence software, including all features, APIs, and associated documentation.
• "Content" means data, reports, assessments, and outputs generated by or delivered through the Platform.
• "Subscription" means the licence granted to the Customer to access and use the Platform under an agreed plan.

2. Access and accounts

Access to the Platform requires a valid Subscription. Customers are responsible for ensuring all Users comply with these Terms. You must:

• Keep your login credentials confidential and not share them with others
• Notify us immediately of any unauthorised access to your account
• Ensure Users are authorised personnel of the Customer organisation
• Not permit access by individuals outside your organisation without our prior written consent

We reserve the right to suspend or terminate access where we reasonably believe credentials are being shared or the account is being misused.

3. Acceptable use

You may use the Services for lawful purposes only. You must not:

• Use the Services to monitor, target, or build profiles on private individuals without lawful basis
• Use intelligence outputs to harass, threaten, or harm any person or group
• Provide outputs to authoritarian governments or organisations engaged in the suppression of journalists, activists, or civil society
• Use the Services for electoral manipulation, disinformation campaigns, or to facilitate propaganda
• Attempt to reverse engineer, decompile, or extract the underlying models, data sources, or algorithms
• Resell, redistribute, or sublicence access to the Platform without our prior written consent
• Scrape, crawl, or systematically extract Platform content through automated means
• Attempt to circumvent access controls, rate limits, or security measures

We may terminate your Subscription immediately and without refund if we determine you have breached this Acceptable Use Policy. We reserve the right to report unlawful use to relevant authorities.

4. Intellectual property

NarrativEye retains all intellectual property rights in the Platform, including all software, models, methodologies, interfaces, and underlying data structures. These Terms do not transfer any intellectual property rights to you.

Content generated by the Platform and delivered to you as part of your Subscription may be used by you for your own internal and commercial purposes (including publication, where your plan includes publication rights). You may not represent Platform outputs as your own original research without appropriate attribution.

You retain ownership of any data you upload to the Platform. By uploading data, you grant NarrativEye a licence to process that data for the purpose of providing the Services.

5. Confidentiality

Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

Confidential information includes: the terms of any subscription agreement, pricing, Platform architecture, proprietary methodologies, and any information marked as confidential. It does not include information that is publicly available or already known to the receiving party.

6. Data and privacy

Our collection and use of personal information is governed by our Privacy Policy. Where we process personal data on your behalf (for example, where you upload personal data to the Platform), our Data Processing Agreement applies.

7. Accuracy and reliance

NarrativEye's Platform provides intelligence assessments based on automated and human analysis of publicly available information. All assessments carry explicit confidence tiers (Assert, Suggest with caveat, Do not publish) indicating the level of verification.

While we take significant care to ensure accuracy, narrative intelligence involves inherent uncertainty. You should not rely solely on Platform outputs for decisions with material legal, financial, reputational, or safety consequences without independent verification appropriate to the stakes involved.

We are not responsible for decisions you make based on Platform outputs.

8. Availability and maintenance

We aim to provide the Platform with high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. We will use reasonable endeavours to restore service promptly in the event of unplanned outages.

Service level commitments for Enterprise customers are set out in the applicable subscription agreement.

9. Fees and payment

Subscription fees are as set out in your subscription agreement or the applicable pricing plan at the time of purchase. Fees are payable in advance and are non-refundable except where required by law or expressly stated in your agreement.

We reserve the right to change pricing on reasonable notice. Existing subscribers will be given at least 30 days' notice of any price increase affecting their current plan.

Invoices not paid within 30 days of the due date may result in suspension of access until payment is received.

10. Limitation of liability

To the fullest extent permitted by law:

• NarrativEye's total aggregate liability to you in connection with any claims arising under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• NarrativEye shall not be liable for any indirect, consequential, incidental, or special damages, including loss of profits, revenue, data, or reputation, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate a Subscription at the end of the current subscription term on written notice. We may terminate immediately if you breach these Terms and fail to remedy the breach within 14 days of written notice.

On termination, your access to the Platform will cease and we will retain your data for a period of 30 days during which you may request an export. After this period, data will be deleted in accordance with our data retention policy.

12. Governing law and disputes

These Terms are governed by applicable law. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the applicable courts, except where applicable consumer law requires otherwise.

We are committed to resolving disputes constructively. Before commencing legal proceedings, we ask that you contact us at legal@narrativeye.ai to give us the opportunity to resolve the matter.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.
